Terms for Activity Hosts on MITRA
These Host Terms govern your use of MITRA as a Host. Participant-side rules are in the Booking Terms. Where a rule rests on EU-wide law it is cited inline; Germany-specific statutes are pinned in the Country Annex (Part B) next to the clause they implement.
Definitions
- MITRA / we / us — RS Community App UG (haftungsbeschränkt), operator of the MITRA app and website (24mitra.com) and of the intermediation and payment-collection services described here.
- Host / you — a user who creates and offers an Activity through MITRA.
- Participant — a user who books a place at an Activity. Participant-side rules are in the Booking Terms.
- Activity — a 1-on-1, group, or public real-life activity a Host creates. A Paid Activity is one for which a ticket price is charged.
- Ticket price — the amount the Host sets for a place at a Paid Activity, VAT included where the Host owes VAT.
- Host Fee — MITRA’s commission on each booking, shown in the app as “MITRA 5%” (Part A §5).
- Card fee — the payment-processing fee Stripe charges for a Participant’s payment; passed on to you at cost (Part A §5). MITRA charges Participants no booking fee.
- Stripe — Stripe Payments Europe, Ltd. and its affiliates, the licensed payment service provider MITRA uses. Payment processing is also governed by the Stripe Connected Account Agreement, which the Host accepts during onboarding.
- Payout — the transfer of a Host’s net proceeds after the Hold Window.
- Hold Window — the period MITRA retains funds before payout (Part A §6).
- Country Annex — the applicable Part B block for the Host’s country.
A1. Parties, and what MITRA is (and is not)
1.1 MITRA is an intermediary and payment collector — not the organiser. MITRA operates an online platform that lets Participants discover and book Activities offered by Hosts, and collects payment for those bookings. The Host is the organiser and sole provider of the Activity. The contract for the Activity itself is concluded directly between the Host and the Participant. MITRA is not a party to that contract, does not organise, run, supervise, or vet the Activity, and gives no promise about it. (Platform / intermediary status: Digital Services Act, Regulation (EU) 2022/2065 (“DSA”); online-marketplace duties per the Country Annex.)
1.2 Online marketplace. MITRA is an “online marketplace” / “online platform allowing consumers to conclude distance contracts with traders.” It therefore owes Participants certain marketplace information duties (ranking, trader status, allocation of obligations) set out in the Country Annex, and this changes nothing about §1.1.
1.3 Payment collection. MITRA (through Stripe) collects the Participant’s payment, holds the funds, and pays the Host after the Hold Window. How MITRA collects — as the Host’s disclosed collection agent, or as merchant of record — is fixed in the Country Annex and the Stripe Connect configuration. Regardless of the mechanism, MITRA does not thereby become the provider of the Activity.
1.4 No employment or partnership. Nothing here creates employment, agency (beyond the limited payment-collection mandate in §1.3), partnership, or joint venture between MITRA and the Host.
A2. Eligibility and account
2.1 You must be at least 18 years old and have full legal capacity to contract.
2.2 You must give accurate, current, and complete information about yourself and your Activities, and keep it up to date.
2.3 Stripe onboarding before charging. To publish a Paid Activity, you must complete Stripe Connect onboarding and your connected account must be ACTIVE (identity verified; charges and payouts enabled). MITRA will not let you publish a Paid Activity, and will not release Payouts, while your Stripe account is restricted, pending, or disabled. You accept the Stripe Connected Account Agreement as a condition of receiving Payouts.
2.4 You are responsible for the security of your account and for everything done through it.
A3. Trader vs. private status — mandatory self-declaration
3.1 Before you can offer a Paid Activity, you must declare whether you act as a trader (professionally / commercially) or as a private individual. MITRA relies on your declaration and displays it to Participants, because a Participant’s consumer-law protections against you depend on it. (Marketplace trader-transparency duty — see Country Annex; origin: Consumer Rights Directive 2011/83/EU as amended by Directive (EU) 2019/2161.)
3.2 If you declare as a trader: you are the “trader”/”Unternehmer” in the Host–Participant contract. You must comply with all consumer-protection, pre-contract information, warranty, price-display, and imprint duties that apply to you in the Participant’s market, and give MITRA the trader identification details it needs to display.
3.3 If you declare as private: MITRA will inform Participants that consumer-protection rules governing trader-to-consumer contracts do not apply to your Activity. You remain fully bound by these Host Terms and by law.
3.4 Your label does not override the law. If the nature, frequency, or scale of your hosting means you are a trader in law, you are treated as a trader regardless of your declaration. MITRA may re-classify you, request evidence, and suspend Paid Activities pending clarification. Tax-reporting duties (Part A §16) apply to traders and private Hosts alike.
A4. Host obligations — you deliver the Activity, on your own responsibility
4.1 You are solely responsible for planning, delivering, supervising, and standing behind each Activity you host, including its safety, quality, and legality.
4.2 You must, at your own cost and risk: obtain every permit, licence, registration, and third-party consent the Activity needs (e.g., venue permission, public-gathering, food-hygiene, alcohol-service, music/copyright, guiding or instructor qualifications); comply with all safety, hygiene, accessibility, and sector rules; and hold adequate liability insurance where the Activity’s risk calls for it.
4.3 Your Activity content (title, description, images, location, requirements) must be accurate, lawful, not misleading, not infringing, and must match what you actually deliver. You must not advertise MITRA as the organiser or imply MITRA endorses or runs your Activity.
4.4 You must honour every booking you accept, run the Activity as described, and deal with Participants fairly and safely. If you must change or cancel, §A7 applies.
4.5 You are responsible for your own taxes on your proceeds (income tax, and VAT on the Ticket price where you owe it). MITRA does not calculate, collect, or remit your VAT unless the Country Annex expressly says otherwise.
4.6 Changing a published Activity. You may change the title, description, photo, what is included, and the Ticket price at any time, also after people have booked. A price change applies only to bookings made after it: everyone who already booked keeps the price they paid, is never charged again and is not refunded the difference; the new price must stay within €2–€1,000 per place, and a Paid Activity with a booking cannot be made free. Date, start time and place cannot be changed once someone has booked — to change them, cancel the Activity (everyone is fully refunded, §A7.1) and publish it again. You may add places at any time, and remove places only down to the number already taken.
A5. Host Fee, card fee, and what you receive
5.1 Participants pay the Ticket price only. MITRA adds nothing on top. The Host Fee and the card fee are paid out of the Ticket price and deducted from your Payout.
5.2 Host Fee. For each booking of a Paid Activity, MITRA charges a Host Fee of 5% of the booking’s ticket total (Ticket price × places booked), with a minimum of €0.30 per booking and no maximum. The Host Fee includes VAT where MITRA owes VAT (Country Annex).
5.3 Card fee. Stripe charges a processing fee on each card payment. MITRA passes the fee Stripe actually charged for that booking on to you at cost, without mark-up; MITRA neither earns on it nor carries it, except in the refund cases in §A7. The amount depends on the Participant’s card: for standard EEA cards it is currently 1.5% + €0.25 per payment; premium, UK and non-EEA cards cost more (Stripe’s current price list applies).
5.4 What you receive per booking = ticket total − card fee − Host Fee. Before you publish, the app shows an estimate based on the standard EEA card rate, marked “about”. After each booking, the exact figure appears on your earnings screen once Stripe reports the card fee. Payouts are always calculated with the actual card fee, never with the estimate.
5.5 Worked examples (one booking, standard EEA card; before any refund/chargeback):
| Ticket total | Card fee (standard EEA card) | Host Fee | You receive |
|---|---|---|---|
| €2.00 | €0.28 | €0.30 (minimum) | €1.42 |
| €8.99 | €0.38 | €0.45 | €8.16 |
| €10.00 | €0.40 | €0.50 | €9.10 |
| €30.00 (3 × €10.00) | €0.70 | €1.50 | €27.80 |
| €50.00 | €1.00 | €2.50 | €46.50 |
| €100.00 | €1.75 | €5.00 | €93.25 |
5.6 The Host Fee is consideration for MITRA’s intermediation and payment-collection service. Where MITRA owes VAT on the Host Fee, VAT treatment is stated in the Country Annex. MITRA may change the Host Fee prospectively on notice under §A15; changes never apply to bookings already taken. Bookings taken under version 2026-10-01 keep that version’s Host Fee (5%, minimum €0.50, maximum €10.00) and are paid out without a card-fee deduction.
A6. Payments, funds flow, Payout, and Hold Window
6.1 The Participant pays the Ticket price (× places booked) at booking — nothing is added on top. MITRA collects and holds the funds through its Stripe balance and does not pay them out immediately.
6.2 Hold Window. MITRA releases your net proceeds (ticket total − card fee − Host Fee, see §A5, minus any refunds/adjustments) after the Activity has taken place, once the applicable Hold Window has passed:
- Trusted Host: Activity end + 48 hours.
- New Host: Activity end + 7 days.
“Trusted Host” status is a trust tier; until you meet it, the New-Host window applies.
6.3 MITRA may hold, extend the hold on, or refund from held funds where: a Participant reports a problem within the reporting window (§A7.5 and Booking Terms); a payment is disputed or charged back; MITRA reasonably suspects fraud, unauthorised payment, prohibited or unsafe conduct, or a breach of these terms; or a law, court, or payment-network rule requires it. MITRA will act proportionately and, where these terms or law require, give you a statement of reasons (§A11).
6.4 Payout timing also depends on Stripe’s processing and on your account being in good standing (§A2.3). MITRA does not pay interest on held funds.
6.5 A booking is paid out only once Stripe has reported its card fee. A booking whose card fee is not yet known is paid in a later payout run.
A7. Cancellations and refunds
7.1 You cancel the Activity → all Participants are fully refunded. If you cancel an Activity (or fail to deliver it), every affected Participant receives a full refund of everything they paid. You receive no proceeds for that Activity, MITRA charges no Host Fee on refunded bookings, and MITRA carries the card fee.
7.2 You remove a Participant you had accepted → that Participant is fully refunded (everything they paid; MITRA carries the card fee), unless the removal is because the Participant breached these terms or the law in a way that justifies forfeiture and MITRA agrees.
7.3 Participant-initiated cancellations follow the Booking Terms refund matrix: ≥ 48 hours before start → the Participant gets the Ticket price back minus the card fee for their payment; < 48 hours before start → no refund. You are not paid, and no Host Fee is charged, for a place the Participant validly cancelled with a refund. The retained Ticket price reflects the place you reserved and held; where a Participant proves you saved expenses or suffered no or a lower loss, MITRA may reduce it accordingly against held funds (§ 309 Nr. 5 / § 648 S. 2 BGB).
7.4 Repeated or last-minute Host cancellations damage Participants and the platform and are a ground for trust-tier downgrade, suspension, or termination (§A11).
7.5 Reported problems. If a Participant reports, within the reporting window, that the Activity did not take place or materially differed from its description, MITRA may hold the relevant funds and, after a fair review, refund the Participant from those held funds (§6.3); the Participant then gets back everything they paid, and MITRA carries the card fee. This administers the held payment; it does not make MITRA the judge of the Activity’s quality as if it were the organiser, and it is without prejudice to the Host–Participant contract.
A8. Chargebacks, reversals, and negative balances
8.1 A chargeback is a Participant’s card issuer reversing a payment. You are financially responsible for chargebacks and refunds arising from your Activity or your conduct.
8.2 If a chargeback, refund, or reversal occurs after you were paid, MITRA may reverse the corresponding Payout, debit your MITRA/Stripe balance, set it off against current or future Payouts, and/or invoice you for the shortfall. Card-network chargeback fees passed to MITRA may be passed on to you where you are responsible.
8.3 Negative balance. If your balance is insufficient, you must repay the shortfall within the period MITRA states. Until then MITRA may withhold Payouts, use Stripe’s negative-balance recovery, and, after notice, pursue lawful collection. MITRA may retain a rolling reserve where your risk profile warrants it.
8.4 You must cooperate with, and give evidence for, the defence of chargebacks and disputes.
A9. Liability — who is responsible for what
9.1 The Host bears the risk of the Activity. As organiser and provider, you are responsible for everything that happens at, around, or because of your Activity — safety, conduct, injury, loss, or damage to Participants or third parties, and all claims arising from it. You will indemnify MITRA against third-party claims arising from your Activity or your breach, to the extent the law allows.
9.2 MITRA’s exclusion for the Activity. MITRA does not organise, run, supervise, or insure Activities and excludes all liability for the Activities themselves and for anything that occurs at them, to the fullest extent permitted by the applicable law.
9.3 MITRA’s own services. MITRA is responsible only for its own platform and payment-collection services, and only within the limits allowed by the applicable law. Mandatory statutory liability is not excluded — including liability for intent and gross negligence, for injury to life, body, or health, and under any applicable product-liability or other non-excludable regime. The precise, enforceable limitation-of-liability wording is set in the Country Annex, because caps on standard terms are policed differently in each country (in Germany, by AGB control).
9.4 Nothing in this section limits a Participant’s non-excludable rights, or a consumer’s mandatory home-country protections preserved by Rome I (Regulation (EU) 593/2008), Art. 6.
A10. Ranking transparency
10.1 Where MITRA ranks, sorts, or recommends Activities, it discloses the main parameters determining ranking and their relative importance, in its help materials or interface. (P2B Regulation (EU) 2019/1150, Art. 5; and, for the consumer-facing display, the marketplace duty in the Country Annex.) Main parameters currently include relevance to the Participant’s stated interests, activity type/category, location and time proximity, and completeness/quality of the listing — not payment for ranking. MITRA does not offer paid ranking; if that ever changes, this section and the disclosure will be updated first.
A11. Restriction, suspension, and termination
11.1 By MITRA. MITRA may restrict, suspend, downgrade, or terminate your access or a listing where you breach these terms or the law, create legal, safety, payment, or reputational risk, or where a law, authority, court, or payment-network rule requires it.
11.2 Statement of reasons. When MITRA restricts or suspends a specific Host’s Paid-Activity service, it gives you a statement of reasons, unless a legal duty or a demonstrable ground (e.g., fraud, illegality) prevents it. For termination of the service, MITRA gives at least 30 days’ prior notice with reasons, in text form (Textform — e.g. e-mail or in-app message), except where a legal obligation, a payment-network requirement, or repeated or serious breaches justify shorter or immediate action. Statements of reasons and suspension notices are likewise given in text form. (P2B Regulation (EU) 2019/1150, Art. 4; form: § 309 Nr. 13, § 126b BGB.)
11.3 By you. You may stop using MITRA and close your account at any time, by notice in text form (Textform — in-app or e-mail); MITRA requires no stricter form from you. Obligations that by their nature survive — delivering bookings already taken (or refunding them), chargeback and negative-balance liability, indemnities, and record-keeping — continue after closure.
A12. Complaints and disputes (P2B)
12.1 MITRA provides a support contact for Host issues and aims to handle complaints fairly and promptly.
12.2 Small-enterprise status — transparency. MITRA is a small enterprise within the meaning of the Annex to Recommendation 2003/361/EC. It is therefore exempt from the obligation to operate a formal internal complaint-handling system (P2B Art. 11(5)) and from the obligation to name mediators (P2B Art. 12(7)). MITRA nevertheless offers the voluntary support route in §12.1. This exemption is stated openly so Hosts know their P2B position; it does not limit Art. 4 (suspension/termination) or Art. 5 (ranking), which apply regardless of size. If MITRA ceases to be a small enterprise, it will implement Art. 11–12 and update this section.
A13. Content, intellectual property, and conduct
13.1 You keep ownership of your listing content. You grant MITRA a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, adapt for formatting, and promote your Activity content for the purpose of operating and marketing the platform. The licence ends when you remove the content, except for copies needed for legal, backup, or record-keeping purposes.
13.2 You must not host or promote anything illegal, unsafe, fraudulent, hateful, discriminatory, sexual-services-based, or otherwise prohibited by MITRA’s community and safety rules. MITRA is action-first and human-connection-driven, not a dating or adult-services platform, and enforces that.
13.3 Notice and action. MITRA operates a notice-and-action mechanism and may remove content or disable listings that are illegal or breach these terms, giving affected Hosts a statement of reasons where required. (DSA, Regulation (EU) 2022/2065, Art. 16 and Art. 17.)
13.4 Reviews. Participants may review your Activity after it ends. Only a Participant who booked and attended can review it, which is how MITRA verifies that reviews are authentic; MITRA discloses this wherever reviews appear. You must not create, buy, solicit, or incentivise fake or misleading reviews, or reviews from people who did not attend. (German basis: § 5b Abs. 3 UWG; § 3 Abs. 3 i.V.m. Anhang UWG.)
A14. Data protection
14.1 Each of MITRA and the Host is an independent controller for the personal data it determines the purposes of. MITRA controls platform, account, and payment-facilitation data; the Host controls the Participant personal data it receives to run its Activity (names, contact, attendance) and must process it lawfully, only for running the Activity, and in line with the GDPR (Regulation (EU) 2016/679). The Host must not repurpose Participant data (e.g., unsolicited marketing) without its own lawful basis.
14.2 Payment data is processed by Stripe under its own terms; Stripe acts as processor and/or independent controller as applicable.
14.3 MITRA’s processing of Host and Participant data is described in the MITRA Privacy Policy. Statutory retention duties (Part A §16 and the Country Annex) override erasure where they apply (GDPR Art. 17(3)(b)).
A15. Terms transparency and changes
15.1 These terms are provided in plain, intelligible language and are accessible before and during your use of MITRA. (DSA Art. 14; P2B Art. 3.)
15.2 MITRA may change these terms. For changes to the Host Terms, MITRA gives at least 15 days’ notice before they take effect (longer where you reasonably need it to adapt), except where a change must take effect sooner to meet a legal or security obligation. (P2B Art. 3(2).) Continuing to offer Activities after the effective date means you accept the change; you may terminate before then.
A16. Tax reporting (platform reporting obligations)
16.1 MITRA is subject to platform tax-transparency reporting where it applies (in the EU, under the DAC7 regime; in Germany, the PStTG — see Annex B-DE). To comply, MITRA collects and verifies Host identification and financial data and reports qualifying Hosts and their proceeds to the competent tax authority by the annual deadline.
16.2 You must give MITRA the information it needs for this (identity, tax IDs, business/register details) and keep it accurate. MITRA may withhold Payouts or suspend Paid Activities where required information is missing, as the reporting rules permit.
16.3 No small-host exemption for services. The de-minimis exemption in the reporting rules covers only the sale of goods; it does not exempt Hosts who provide services/activities. Assume you may be reported once you meet the reporting conditions, regardless of how few Activities you host.
A17. Miscellaneous
17.1 Assignment. You may not assign these terms without MITRA’s consent. MITRA may assign to an affiliate or successor.
17.2 Severability. If a clause is invalid, the rest stays in force and the invalid clause is replaced by the closest lawful equivalent.
17.3 Entire agreement. These terms (with the applicable Annex, the Booking Terms, the Privacy Policy, and the Stripe agreements) are the whole agreement between you and MITRA for hosting.
17.4 Notices. MITRA may notify you in text form (Textform) — in-app or by e-mail to your registered address — and text form is sufficient for notices you give MITRA; neither party requires a stricter form. (§ 309 Nr. 13, § 126b BGB.)
17.5 Language. The governing language of these terms is set in the Country Annex; other-language versions are for convenience.
A18. Governing law and jurisdiction
Governing law and the competent courts are set in the applicable Country Annex (Part B). Where you contract as a private individual/consumer resident in the EEA, mandatory protections of your home country are preserved regardless of the chosen law (Rome I, Regulation (EU) 593/2008, Art. 6), and consumer jurisdiction rules may let you sue or be sued at your domicile (Brussels Ia, Regulation (EU) 1215/2012).
Annex B-DE — Germany (in force)
Governing law: German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For Hosts acting as consumers resident elsewhere in the EEA, Rome I Art. 6 preserves their home mandatory protections.
Competent courts: For Hosts who are merchants/legal persons/public-law entities (Kaufleute etc.), exclusive place of jurisdiction is Berlin. For other Hosts, the statutory rules apply. (§ 38 ZPO.)
Governing language: German. (An English convenience translation may be provided.)
